Terms of Service for Yunibas, LLC.

Introduction

These Terms of Service ("Terms") govern your access and use of the services provided by Yunibas, LLC. ("Yunibas," "we," "us," or "our") through our platform and applications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are not permitted to access or use the Services.

  1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Services. You may not use the Services if you are located in a jurisdiction where your use of the Services is prohibited.

  1. User Accounts

You may create an account with the Services ("Account"). You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account or any other breach of security.

  1. Data Ownership and Use

  • User Information: You own the user information you submit to the Services. We only use this information to provide and operate the Services.

  • Data Entered by Users: The data entered by users on your behalf through an invitation from their employer belongs to the company that invited them to use the Services. We do not claim ownership of this data and only act as a processor of this information on behalf of your employer.

  • Content: You retain all ownership rights to any content you submit to the Services. You grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, adapt, translate, distribute, and publish such content solely for the purpose of providing and operating the Services.

  1. Downstream Systems

You are solely responsible for the compliance of your downstream systems with any applicable laws and regulations. You agree to indemnify and hold us harmless from any claims or damages arising from the use of your downstream systems with our Services.

  1. Prohibited Activities

You agree not to do any of the following while using the Services:

  • Access the Services in an unauthorized manner or use any unauthorized third-party software or tools.

  • Collect or harvest personal information of other users.

  • Interfere with or disrupt the Services or any servers or networks connected to the Services.

  • Transmit any viruses, malware, or other harmful code.

  • Use the Services for any illegal or unauthorized purpose.

  1. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

  1. Limitation of Liability

WE WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, AND PUNITIVE DAMAGES.

  1. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services or your violation of these Terms.

  1. Termination

We may terminate your access to the Services at any time, for any reason, without notice. You may also terminate your Account at any time.

10. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Texas.

11. Entire Agreement

These Terms constitute the entire agreement between you and us with respect to the Services and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13. Amendments

We may amend these Terms at any time by posting the amended Terms on the Services. You are responsible for regularly reviewing the Terms. Your continued use of the Services after the posting of amended Terms constitutes your acceptance of the amended Terms.

14. Data Breach Notification

In the event of a data breach that affects Texas residents, we will notify them in accordance with the Texas Business & Commerce Code ยง521.053. We will take reasonable steps to contain the breach, investigate the incident, and mitigate any harm to affected individuals.
